Terms of Service
These terms apply to website design, build, hosting, and care services provided by Hoxie Ventures LLC, Milford, Connecticut ("we", "Agency") to a business client ("you", "Client"). Paying a deposit, signing an agreement, or starting the care plan means you accept these terms. A signed agreement with different terms controls where the two conflict.
How you agree. Paying the deposit through our Stripe payment link with the "I agree to the terms" box checked, or signing our agreement on paper or online, is your acceptance of these terms and your electronic signature on the build agreement. Stripe records the time and your details.
1. Services
We design, build, and launch a website for your business as described in your quote or agreement, typically a home page and a menu or services page with contact and location details, hours, and photography you supply or approve. You approve a preview before launch. Work outside the agreed scope is quoted in writing before it starts.
2. Fees and payment
- Build fee: a $500 deposit is due to start, and the balance is due at launch, unless your quote says otherwise. Build fees are non-refundable once work begins; if you cancel before work begins, the deposit is refunded in full.
- Changes after launch: the care plan includes up to two content updates a month. Beyond that, an extra content change is $25, a new section is $150, and a new page is $300.
- Care plan: billed monthly in advance from the launch date, by card or bank transfer through Stripe, or by another method we agree to in writing.
- Fees exclude Connecticut sales tax, currently 1% on these services, which is shown as a separate line.
- Additional updates beyond the care plan: $25 per small change, $150 per new section, $300 per new page, unless quoted otherwise.
3. Care plan
The care plan includes hosting, SSL, domain renewal at cost, up to two content updates per month made within two business days, a monthly site check, and same-day attention if the site is down or shows wrong holiday hours. Redesigns, new pages, and new integrations are quoted separately.
4. Your responsibilities
You provide your logo, photos, menu or service list with prices, hours, and approvals within seven days of a request, and you confirm you have the right to use everything you provide. You are responsible for the accuracy of prices, hours, and claims on your site.
5. Ownership
You own your domain name, your content, your photos, and the published pages of your site. We own our templates, code, and tooling and grant you a perpetual license to the published site. On termination we deliver an export of your site files within 14 days.
6. Domain and hosting
Your domain stays registered in your name. We hold DNS and hosting access to operate the site. Hosting runs on a third-party platform; we are not liable for platform outages beyond our control and will restore service promptly.
7. Term and cancellation
The care plan runs month to month. Either party may cancel with 30 days' written notice by email. On cancellation we hand over DNS and provide the site export; hosting ends at the close of the paid period.
8. Limits
Our total liability to you is limited to the fees you paid in the three months before a claim. We make no guarantee of search rankings, traffic, or sales. Neither party is liable for indirect or consequential damages.
9. General
These terms are governed by the laws of the State of Connecticut. We may update these terms; the version in effect when you pay or sign applies to that engagement. Questions: hunter@hoxieventures.com or 203-997-3476.
